Statement on Works Council Election

WALLDORF - June 22, 2006 - SAP AG (NYSE: SAP) announced today that the candidate list 5, Wir für Dich, received the most votes (39.12%) in the works council election yesterday for SAP AG and will hold 16 of the total 37 seats in the works council. List 8, MUT, followed with 26.91% of the vote, giving them 11 seats. List 7, ABS, list 2, Die Unabhängigen, and list 10, Pro Betriebsrat, each will hold three seats on the works council. List 4, TEAM, will hold one seat.

A total of 64.8% of nearly 11,000 SAP employees eligible to vote cast a valid vote.

All elected members of the works council now have three working days to accept their mandate. Then, provisionally scheduled for the first week of July, the election committee will summon the members of the works council to a constitutive meeting. During this meeting, members of the works council will elect the works council chairperson.
